This document is an official public offer by Физическое лицо — предприниматель Асеев Александр Юрьевич (ФОП Асєєв Олександр Юрійович) (the "Provider") to enter into an agreement granting access to the online service ApexFlow, hosted at apexvision.trade (the "Service"), on the terms set out below. Full and unconditional acceptance of this offer occurs when you pay for the Service and/or register in the Service and begin using it.

1. Definitions
- Service (Platform) — the ApexFlow online platform, available at apexvision.trade, intended for the informational and analytical processing of chart screenshots of financial markets uploaded by the User and the generation of analytical reports.
- User (Customer) — a legally capable individual who has accepted this offer.
- Analysis — a single automated processing of chart screenshots uploaded by the User, resulting in an analytical report (market structure, scenarios, levels).
- ALBERT — the Service's AI assistant, which provides explanations of Analysis results in a conversational mode.
- Token — the Service's internal accounting unit; one Token grants the right to run one Analysis.
- Bonus analysis (analysis extension) — an internal unit of the Service for in-depth AI breakdowns and additional explanations inside ApexFlow; it is spent separately from Tokens.
- Package — a set of Tokens (and, where applicable, bonus analyses) purchased by the User for a fee according to the rates published at apexvision.trade/pricing.
- Account — the User's account in the Service, created upon authorization via Google OAuth.
2. Subject of the agreement
2.1. The Provider grants the User, on the terms of this offer, access to the Service's functionality, including:
- uploading chart screenshots of financial instruments and their automated informational and analytical processing;
- generating analytical reports: market phase, directional bias, possible scenarios, indicative entry, stop and target levels;
- access to the Service's AI features, including the ALBERT assistant that explains Analysis results;
- storing the history of completed Analyses in the User's Account.
2.2. The Service is informational and analytical only. The Service does not provide brokerage, dealer, custody or asset-management services and does not provide individual investment advice (see Section 9 of this offer and the Risk Disclaimer).
2.3. The following are integral parts of this offer: the Terms of Service, the Privacy Policy, the Refund Policy and the Risk Disclaimer.
3. How access is provided
3.1. Access to the Service is granted after the User authorizes via a Google account (Google OAuth). No separate password registration is required.
3.2. On first sign-in, the User may be granted a free trial period of 3 calendar days with full access to the Service's functionality. The trial is granted once per account and is not subject to monetary compensation.
3.3. After a Package is paid for, the corresponding number of Tokens and, where applicable, bonus analyses are credited to the User's Account balance automatically, usually within a few minutes after the payment is confirmed by the payment system. Access is deemed delivered at the moment Tokens are credited to the balance.
3.4. Tokens are deducted from the balance when an Analysis is launched, at a rate of 1 Token = 1 Analysis. Bonus analyses are deducted separately when used for an in-depth AI breakdown.
3.5. Credited Tokens do not expire unless otherwise expressly stated in the description of a specific Package on the pricing page.
4. Pricing and payment
4.1. Package prices are published at apexvision.trade/pricing and may be changed by the Provider unilaterally. A price change does not apply to already-paid Packages.
4.2. Tokens and bonus analyses are internal units of the Service and are not money, e-money, securities or any payment instrument. They cannot be cashed out or transferred between accounts.
4.3. Payment is made by non-cash methods through the Service's payment provider, using bank cards and other methods available in the payment widget. The payment currency and the final amount are shown on the payment page before you confirm the payment.
4.4. The Provider neither receives nor stores the User's bank card details. Payment data is processed by the payment system in accordance with the PCI DSS standard.
4.5. The User's payment obligation is deemed fulfilled at the moment the payment system confirms a successful payment.
4.6. The document confirming that the service was delivered is the electronic record in the Provider's system about the crediting and use of Tokens. A separate statement of services can be issued on the User's request to sanya.aseev.88@gmail.com.
5. Refunds
5.1. The conditions and procedure for refunds are set out in the Refund Policy, which is an integral part of this offer.
5.2. In short: a refund is possible for unused Tokens upon a request sent to sanya.aseev.88@gmail.com within 14 calendar days of payment. No refund is given for Tokens already used, for spent bonus analyses or for the trial period.
6. Rights and obligations of the parties
6.1. The Provider undertakes to:
- provide access to the Service on a 24/7 basis, except during scheduled maintenance and technical work;
- credit paid Tokens to the User's balance as set out in Section 3;
- keep the User's data confidential in accordance with the Privacy Policy;
- assist the User with questions about the Service at sanya.aseev.88@gmail.com.
6.2. The Provider is entitled to:
- change the Service's functionality, prices and the terms of this offer, publishing the changes on the site; changes are not retroactive for already-paid Packages;
- suspend the Service for technical work;
- restrict or terminate the User's access if the User breaches the Terms of Service.
6.3. The User undertakes to:
- use the Service only for lawful purposes and in accordance with the Terms of Service;
- keep their Google account, through which they sign in to the Service, secure;
- make all trading and investment decisions independently and bear responsibility for their consequences.
7. Limitation of liability
7.1. The Service is provided on an "as is" basis. The Provider does not warrant that the Service will meet the User's subjective expectations or that Analysis results will lead to a positive financial outcome.
7.2. The Provider is not liable for any direct or indirect losses, lost profit or other losses of the User arising from the use of or inability to use the Service, including as a result of trading decisions made by the User based on the Service's materials, or for interruptions caused by third parties, provider or payment-system failures, or force majeure.
7.3. In any event, the Provider's aggregate liability under this agreement is limited to the amount actually paid by the User for the most recently purchased Package.
7.4. The parties are released from liability for failure to perform obligations caused by force majeure, confirmed in the manner established by applicable law.
8. Intellectual property
8.1. All rights to the ApexFlow / Apex Vision brand, the ALBERT AI assistant, the interface, source code, analysis algorithms, trading logic, texts, design, service structure, databases, visual elements and other Service materials belong to ФОП Асєєв Олександр Юрійович, unless expressly stated otherwise.
8.2. The User receives only a limited, non-exclusive, non-transferable right to use the Service through its web interface within the scope of paid access. No ownership rights to the source code, algorithms, materials, brand or trading logic of the Service are transferred to the User.
8.3. Copying, reselling, decompiling, reverse engineering, automated scraping, reproducing the Service's logic, and creating derivative or competing products based on ApexFlow materials without the rightsholder's written consent are prohibited.
9. Informational nature of the materials
9.1. ApexFlow is not a broker, dealer, exchange, investment firm or investment adviser and does not carry out any activity subject to licensing on the capital markets.
9.2. All materials of the Service, including Analysis results and ALBERT's answers, are informational and analytical only and do not constitute individual investment advice, an offer or an inducement to enter into transactions with financial instruments.
9.3. The User makes any trading decision independently and at their own risk. The Provider does not guarantee profit or any other outcome. See the Risk Disclaimer for details.
10. Term and amendment of the offer
10.1. The offer takes effect when published on the site and is valid indefinitely. The agreement is deemed concluded upon acceptance and remains in force until the parties have fully performed their obligations.
10.2. The Provider is entitled to amend the offer. A new version takes effect when published at apexvision.trade/offer, unless the version itself states otherwise. Continued use of the Service after changes are published constitutes the User's agreement with the new version.
11. Dispute resolution and governing law
11.1. The relationship between the parties is governed by the law of Ukraine, including the Law of Ukraine "On the Protection of Consumer Rights" and the Law of Ukraine "On Electronic Commerce".
11.2. Disputes are resolved through negotiation. Claims are sent to sanya.aseev.88@gmail.com and reviewed within 10 business days. If no agreement is reached, the dispute is referred to a court in accordance with the law of Ukraine.
